Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Any Mind LLC ("Company," "we," "us," or "our") concerning your access to and use of the VinylScan mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the App.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial use.

This license does not include the right to:

• Sell, rent, lease, lend, or sublicense the App
• Copy, decompile, reverse engineer, disassemble, or create derivative works
• Remove or modify any proprietary notices or labels
• Use the App for any commercial purpose
• Use the App in any unlawful manner or in violation of these Terms

User Accounts and Subscriptions

Some features of the App may require you to create an account or purchase a subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Subscriptions

• Subscriptions are billed through your Apple ID and managed through your Apple account
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period
• You can manage and cancel subscriptions in your device's account settings
• Refunds are subject to Apple's refund policy
• No refunds will be provided for unused portions of a subscription period

User Content and Conduct

You retain all rights to the data you create, upload, or store in the App, including your vinyl collection information and personal notes. By using the App, you grant us a limited license to use this data solely to provide and improve the App's services.

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App or servers
• Impersonate another person or entity
• Transmit viruses, malware, or other harmful code
• Collect or harvest information from other users
• Use the App to spam or harass others

Pricing Information Disclaimer

VinylScan provides estimated market values for vinyl records based on various data sources. These estimates are for informational purposes only and should not be considered as:

• Professional appraisals
• Guaranteed sale prices
• Investment advice
• Binding offers to buy or sell

Actual values may vary significantly based on condition, demand, location, and other factors. We make no warranties regarding the accuracy, completeness, or reliability of pricing information.

Intellectual Property Rights

The App and its original content, features, and functionality are owned by Any Mind LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

VinylScan, the VinylScan logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Any Mind LLC. You may not use these marks without our prior written permission.

Third-Party Services and Content

The App may contain links to third-party websites, services, or content. We do not control and are not responsible for any third-party content, websites, or services. Your use of third-party services is at your own risk and subject to their terms and conditions.

Album artwork, artist information, and other content displayed in the App is sourced from various databases and may be subject to copyright protection. Such content is displayed for identification and informational purposes only under fair use principles.

Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• The App will function uninterrupted, securely, or be available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App will meet your requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANY MIND LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Any Mind LLC and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the App.

Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

You may terminate your use of the App at any time by deleting it from your device. Termination does not relieve you of any obligations incurred prior to termination.

Apple App Store Terms

By downloading the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Any Mind LLC, not Apple
• Apple has no obligation to provide maintenance or support services
• Apple is not responsible for addressing any claims relating to the App
• Apple is a third-party beneficiary of these Terms and may enforce them
• You must comply with Apple's App Store Terms of Service

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may assert claims in small claims court if they qualify.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms in the App and updating the "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Any Mind LLC regarding the App and supersede all prior agreements and understandings.
